COMPANY BACKGROUND


The company is an SME which has been exclusive distributor for an international consumer electronics brand in the German market for > 40 years. The company represents the brand both in the Consumer as well as Professional market. Since the last 5-7 years the sales for the consumer electronics brand started to drop significantly in the consumer market, although the market size itself remained stable. Next to the international consumer electronics brand, the company sells their own branded products. The production is done in their own factory (legally a separate company, however both organizations are very much intertwined).


Profitability has dropped over the last 4 years, which in 2018 came to a loss. Mid 2018 the German company asked an external organization to help them to become profitable again. However, the required improvements were done too little. The declined sales in Germany and financial difficulties of the German company and distributor, also brought the international brand in a difficult situation regarding the German market. To be able to improve the market situation as soon as possible and be able to sell and increase the brand's sales again, the international brand is currently considering to acquire the German company (100% share acquisition), and realize the required reconstruction asap.


TASKS AND GOALS

  • Be the legal “Geschaftsfuhrer” of the new German Company (under the name of the acquiring international company) 
  • Manage the reconstruction process, make sure it is compliant to the German law
  • Take responsibility on the German side for the post merger intergration
  • Prepare, organize and implement the downsizing of a number of employees 
  • Prepare, organize and realize the move of office (from current location to new office in the area)
  • Together with the staff of the international  company, organize & realize the commercial announcement and realize the sales according to the new planned Budget 2019 
  • Together with the staff of the acquiring company, organize & realize that all logistic activities will be done
  • Start working on a new culture in the firm (from no info/top-down mgmt towards an open, transparent culture, where you have your own responsibility)

Anforderungen

PROFILE

  • Getting things done / hands on mentality
  • Experienced in restructuring of SMEs
  • Ability to work in an international setup
  • Experience with post merger integrations (desired)
  • Experience in distribution and/or consumer electronics (desired)
  • Preferrably in addition experience in the implementation of sales initiatives in the FMCG industry   
  • Change Management Capabilities to lead a cultural change
  • Understanding of underlying legal framework when downsizing   
  • Experienced in working with and leading SMEs  (10-30 Mio EUR revenue, less than100 employees)
